Job Summary: We are seeking a highly organized and proactive legal professional to fill the role of In-house Legal Counsel at our investment management firm. The ideal candidate will provide comprehensive legal support to our firm while ensuring the compliance with federal and local applicable regulations. This position requires a detail-oriented professional with excellent communication skills and the ability to multitask in a fast-paced environment.
Key Responsibilities:
- Structuring and Transactions: Contribute to entity formation, structuring, and other corporate transactions, including drafting relevant legal agreements.
- Legal Document Management: Draft, and review a variety of legal documents such as contracts, operating agreements, NDAs, investment management agreements, vendor agreements, etc.
- Regulatory Compliance: Support the General Counsel and Compliance Department in interpreting and applying SEC and local regulations.
- Policy Development: Research and analyze legal and regulatory changes affecting the firm; assist in updating internal policies and procedures accordingly.
- Cross-Functional Collaboration: Collaborate with various departments (Fund Management, Portfolio Management, Asset Management, Operations and Compliance) to address legal and business needs.
- Risk Management: Identify, assess, and propose solutions to manage and mitigate legal and regulatory risks.
- Corporate Governance: Assist with preparing board and committee materials, maintaining corporate records, and ensuring compliance with governance policies.
- Other Duties: Perform additional projects and tasks to support our firm, as needed.
Qualifications:
- Education & Bar Admission: Juris Doctor (J.D.) from an accredited law school; admission to Puerto Rico state bar.
- Experience: 3-5 years of legal experience, ideally gained in a law firm or corporate legal department (experience in corporate law, financial services or investment management a plus).
- Knowledge of Applicable Regulations: Familiarity with the Investment Advisers Act of 1940, PR Act 60-2019 and other relevant financial services regulations is preferred.
- Strong Legal Drafting Skills: Excellent attention to detail, ability to produce clear and concise legal documents.
- Analytical & Problem-Solving Skills: Capable of researching complex legal issues and presenting practical, business-oriented solutions.
- Communication & Interpersonal Skills: Ability to collaborate effectively with cross-functional teams and communicate legal concepts in plain language.
- Organizational Skills: Demonstrated ability to prioritize tasks, manage projects, and meet deadlines under minimal supervision.
- Adaptability: Willingness to learn and take on new responsibilities in a fast-paced, evolving environment.
- Fully Bilingual: English and Spanish
