Blank Rome Represents Korn Ferry as Lead Counsel in Its Agreement to Acquire Alexander Mann Solutions

A Blank Rome LLP team represented Korn Ferry, a Delaware corporation (NYSE: KFY), as lead counsel in connection with its agreement to acquire Alexander Mann Solutions from OMERS Private Equity for £850 million (approx. $1.1 billion).


Headquartered in the United Kingdom, Alexander Mann Solutions is a leading provider of Recruitment Process Outsourcing (“RPO”) and has 8,000 employees. When closed, the combination will result in a firm of more than 16,000 employees worldwide. 


The purchase price will be paid (i) approximately £659 million (approximately $881 million) in cash and (ii) approximately £191 million (approximately $255 million) in Korn Ferry common stock. 


The transaction was structured using a UK-style “locked-box” mechanism, with a U.S.-style representation and warranty insurance policy. Because of a unique situation with the seller, the signing of the definitive agreement had to be completed within 30 days. The Blank Rome team, together with its foreign local counsel in multiple jurisdictions, met this challenge.


The “Completion” (i.e., closing) is subject to certain regulatory approvals in the United States, UK, and Germany, and is expected to occur on or before October 31, 2026.


The Blank Rome team was led by Michael Cohen and Jonathan Keen, with Rachel Smaler from the Los Angeles Office.
